Any Goods purchased via the Purchase Order Approval Form on the website, whether it be blanket purchase order approval for all Your orders now and in the future, or for one individual purchase order placed by You, are done so in accordance with these Terms and Conditions and Our Purchase Order Policy.
Please review these terms and conditions carefully before placing a purchase order. By placing a purchase order, You affirm that You have read, understood, and agreed to be bound by these terms and conditions.
1. Acceptance and Agreement
By placing a purchase order with Coaching Systems (referred to as either “CS”, “We”, “Us” or “Our” in this Agreement), you (“Buyer” or “You”) agree to be bound by the terms and conditions set forth below. These terms and conditions shall constitute the entire agreement between the parties and shall supersede any prior or contemporaneous agreements, understandings, or representations, whether oral or written.
2. Purchase Orders
All purchase orders placed with CS must be submitted in writing via Our website or through any other authorized platform or method. The purchase order shall specify the quantity, description, price, and delivery details of the material and/or course items to be purchased.
3. Pricing and Payment
- The Buyer agrees to pay the total amount specified in the purchase order, including any applicable taxes, shipping charges, or other related costs.
- The payment terms on all purchase orders are Net 30, which means payment is due within 30 days from the date of the invoice.
- Payment shall be made in the form and manner specified by CS on its website or through any authorized payment gateway.
- CS reserves the right to change the pricing of its materials and/or course items at any time without prior notice. However, the pricing for the Buyer’s purchase order shall remain firm and fixed as specified at the time of order placement.
- If the Buyer fails to make full payment within the agreed-upon timeframe (Net 30) or fails to make payment at all, We shall have the right to take any of the following actions:
- Withhold delivery of any outstanding materials or items until full payment is received.
- Cancel the purchase order, resell the items, and recover any losses incurred from You.
- Suspension or termination of Buyer’s ability to place future purchase order transactions.
- If the item(s) purchased is/are online courses, CS reserves the right to cancel any remaining active online course authorization key codes.
- Charge interest on the unpaid amount at a rate determined by CS per month or at the highest rate permissible by law, whichever is lower.
- Recover all costs and expenses including, but not limited to, collection fees, legal fees, and court costs arising from the Buyer’s breach of payment obligations.
- In case of partial payments made by the Buyer, CS reserves the right to decide whether to accept the payment as partial satisfaction of the full purchase price or to reject the payment entirely.
4. Delivery and Shipping
- CS shall make reasonable efforts to deliver the materials and items within any agreed-upon timeframe specified in the purchase order. However, any delivery dates or timeframes provided are estimates and are subject to change.
- The risk of loss or damage to material or items shall transfer to the Buyer upon delivery. The Buyer is responsible for inspecting the received items and notifying the Seller of any discrepancies, damages, or defects within 7 days of receipt of the items.
5. Returns and Refunds
- CS’s return and refund policy shall be provided on its website and shall be applicable to all purchases made by the Buyer.
- Refunds, if applicable, shall be issued in the original form of payment (if practicable), subject to Our return policy.
6. Intellectual Property Rights
- The Buyer acknowledges that all intellectual property rights, including but not limited to copyrights, trademarks, and proprietary information, associated with the material and items made available through the website belong solely to CS or its licensors.
- The Buyer agrees not to reproduce, distribute, or otherwise use CS’s intellectual property without the prior written consent of CS.
7. Limitation of Liability
- CS shall not be held liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the material or items, including without limitation, loss of profits, loss of data, or any other economic or personal loss.
- To the extent permitted by law, CS’s liability shall be limited to the purchase price paid by the Buyer for the material or items.

8. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Colorado.
9. Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
